** On September 29, 2016, Titan International, Inc. entered into an Audit Committee Observer Agreement (the “Agreement”) with Mark H. Rachesky, various MHR entities and Mark H. Rachesky that permits the MHR entities to designate an observer of the Audit Committee. The Agreement was filed within a Form 8-K dated October 3, 2016 with the Securities and Exchange Commission.
