** On September 29, 2016, Titan International, Inc. entered into an Audit Committee Observer Agreement with, among others, Mark H. Rachesky and entities affiliated with Mr. Rachesky that permits such entities to designate an observer of the Audit Committee. The agreement is an exhibit to a Form 8-K filed with the Securities and Exchange Commission on October 3, 2016.
